After months of speculation, BJ's Wholesale Club has entered a definitive agreement to be acquired by Leonard Green & Partners and CVC Capital Partners for an all-cash transaction valued at about $2.8 billion.

WESTBOROUGH, Mass. — After months of speculation, BJ's Wholesale Club has entered a definitive agreement to be acquired by Leonard Green & Partners and CVC Capital Partners for an all-cash transaction valued at about $2.8 billion.

BJ’s board of directors unanimously approved the merger agreement — which is subject to approval of BJ’s shareholders, customary closing conditions and regulatory approvals — and recommends that all BJ’s shareholders vote in favor of the transaction.

Sam’s is enjoying some solid momentum these days, but a potential buyout of BJ’s Wholesale Club announced Friday morning could create some competitive issues in market where the companies operations overlap.

Of course, that assumes the private equity firms Leonard Green & Partners and CVC Capital Partners, the companies who have joined forces to take BJ’s private, are interested in growing the business and investing in operations as opposed to simply squeezing the 190 unit retailer for cash.

Information on Tuesday confirmed that private equity firm Leonard Green & Partners LP is considering an offer to acquire BJ’s Wholesale Club.

NEW YORK -- Leonard Green & Partners continues to seek investments in retail, this time setting its sights on BJ's Wholesale Club. Information on Tuesday confirmed that the private equity firm is considering an offer to acquire the warehouse club chain.

Leonard Green, which already as a 9.3% ownership stake in the wholesale club operator, said in an SEC filing that it is examining confidential information provided by BJ's as it evaluates an offer.
