After months of delay and a failed bid by Dollar General, Family Dollar shareholders agreed to be acquired by Dollar Tree in a deal that creates a combined company with more than 14,000 locations, estimated annual sales of $19 billion and compelling growth opportunities.

Dollar General said it would “defend litigation” if necessary.

The statement could give new momentum to Dollar Tree's $8.5 billion cash and stock competing bid for Family Dollar. Meanwhile, two proxy investment firms have switched their recommendation for Family Dollar shareholders to accept the Dollar Tree offer, rather than the bid from Dollar General.

Family Dollar has rejected numerous approaches from Dollar General, the latest worth $9.1 billion in cash, in favor of an $8.5 billion cash-and-stock offer from Dollar Tree. It has cited risks that the Dollar General deal would be blocked because of anti-monopoly rules.
